I, Ahmad Binbyat, Director General of the Dubai Technology and Media Free Zone Authority

 

 

 

 

After perusal of the Dubai Technology and Media Free Zone Licensing Regulations 2003 and Regulation 3.2 thereunder hereby issue the following decision regarding the categories of business for which a licence may be issued in the Zone.

 

This decision replaces Decision No. 1 of 2008 as amended and shall be read together with Decision No. 2 of 2006.

 


Notes

 

 

1.                   Issue of Licences

 

1.1               Licences shall be issued by the Dubai Technology and Media Free Zone Authority (the "Authority") for each of Dubai Internet City ("DIC"), Dubai Media City ("DMC"), Knowledge Village ("KV") Dubai International Academic City (“DIAC”), International Media Production Zone ("IMPZ"), Dubai Outsource Zone ("DOZ"), Dubai Studio City ("DSC"), Dubai Biotechnology and Research Park ("DuBiotech") and Energy and Environment Park ("ENPARK") for their respective licence segments as set out below.

 

1.2               DIC, DMC, KV, DIAC, IMPZ, DOZ, DSC, DuBiotech and ENPARK may all issue licences under the General Segments.

 

2.                   Segments and Activities

 

2.1               Each of DIC, DMC, KV, DIAC, IMPZ, DOZ, DSC, DuBiotech and ENPARK's licence categories are broken down into segments and each segment has a number of activities.

 

2.2               For licensees in DIC's "First Steps" programme, no transfers of shares in free zone limited liability companies will be permitted by the Authority for the first year of the licensees' participation in the First Steps programme.

 

2.3               For licensees in DMC's Business Centre and/or KV's Business Centre, no transfers of shares in free zone limited liability companies will be permitted by the Authority for the first year of the licensees' participation in either of the two Business Centres.

 

2.4               For licensees in DSC, no transfers of shares or change in, or change of company name of, any free zone limited liability companies will be permitted by the Authority for the first year of incorporation.

 

2.5               For licensees under the Publishing Segment (Segment 4.4), a licensee may, on application add the names of publication titles to its licence for an annual fee of United Arab Emirates Dirhams Five Thousand (AED 5,000.00) per title.

 

2.6               FZ-LLC licensees under Publishing Segment (Segment 4.4), Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2), are restricted from opening a branch within United Arab Emirates including Free Zones.

 

2.7               For licensees under the Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2), a licensee may, on application add the names of channels which are uplinked through the authorised uplink service provider to its licence for an annual fee of United Arab Emirates Dirhams Five Thousand (AED 5,000.00) per title.

 

2.8               For licensees under the Academic Institute Segment (Segment 7.1) each licensee shall ensure that all students enrolled with the licensee are provided with a student identity card to be issued by the Authority.

 

2.9               The Authority publishes "Guidelines" for certain of the licensing activities explaining the permitted activities allowed under each activity.  For the avoidance of doubt, in the event of any conflict or contradiction between the Guidelines and this Licensing Decision, the terms of this Licensing Decision will prevail.

 

3.                   Licence Fees

 

3.1               Subject to the below provisions, a licence for each segment is for an amount of United Arab Emirates Dirhams Fifteen Thousand (AED 15,000.00) per annum.

 

3.2               A licence for the Advertising and Communication Segment (Segment 3.1) is United Arab Emirates Dirhams Twenty Thousand (AED 20,000.00) per annum.

 

3.3               A permit under the DMC Freelancer Segment (Segment 3.9) and the KV Freelancer Segment (Segment 6.8) is an amount of United Arab Emirates Dirhams Seven Thousand Five Hundred (AED 7,500.00) per annum.

 

3.4               A licence for the Publishing Segment (Segment 4.4) is United Arab Emirates Dirhams Twenty Thousand (AED 20,000.00) per annum.

 

3.5               A licence for the Broadcasting TV Segment (Segment 5.1) is United Arab Emirates Dirhams Twenty Five Thousand (AED 25,000.00) per annum for Activities 5.1.1, 5.1.3 and 5.1.5 and United Arab Emirates Dirhams Forty Thousand (AED 40,000.00) per annum for Activities 5.1.2 and 5.1.4.

 

3.6               A licence for the Broadcasting Radio Segment (Segment 5.2) is United Arab Emirates Dirhams Twenty Five Thousand (AED 25,000.00) per annum for Activities 5.2.1, 5.2.3 and 5.2.5 and United Arab Emirates Dirhams Forty Thousand (AED 40,000.00) per annum for Activities 5.2.2 and 5.2.4.

 

3.7               A licence for the Academic Institute Segment (Segment 7.1) is United Arab Emirates Dirhams Fifty Thousand (AED 50,000.00) per annum for the activity University (Activity 7.1.1)where the University offers post graduate courses only and United Arab Emirates Dirhams One Hundred Thousand (AED 100,000.00) per annum where the University offers both graduate course and post graduate courses.

 

3.8               A licence for the Academic Institute Segment (Segment 7.1) is United Arab Emirates Dirhams Fifty Thousand (AED 50,000.00) per annum for the activity Branch University (Activity 7.1.2) where the Branch University offers post graduate courses only and United Arab Emirates Dirhams One Hundred Thousand (AED 100,000.00) per annum where the Branch University offers both graduate course and post graduate courses.

 

3.9               A licence for the Distance Learning Centre (Segment 7.2) is United Arab Emirates Dirhams Fifty Thousand (AED 50,000.00) per annum for the activity Blended Academic Centre (Activity 7.2.1) where the Blended Academic Centre offers post graduate courses only and United Arab Emirates Dirham One Hundred Thousand (AED 100,000.00) per annum where the Blended Academic Centre offers both under graduate courses and post graduate courses.

 

3.10            A licence for the Online Academic Institute (Segment 7.3) is United Arab Emirates Dirhams Fifty Thousand (AED 50,000.00) per annum for the activity Online Academic Institute (Activity 7.3.1) where the Online Academic Institute offers post graduate courses only and United Arab Emirates Dirham One Hundred Thousand (AED 100,000.00) per annum where the Online Academic Institute offers both under graduate courses and post graduate courses.

 

3.11            A licence for the Branch School Segment (Segment 7.7) is United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00) per annum for one listed activity.  A licensee may on application add more than one activity onto its licence for an additional annual fee of United Arab Emirates Dirhams Fifteen Thousand (AED 15,000.00) per annum.

 

3.12            A licence for the Boarding School Segment (Segment 7.8) is United Arab Emirates Dirhams One Hundred Thousand (AED 100,000.00) per annum.  A licensee may on application add more than one activity onto its licence for an additional annual fee of United Arab Emirates Dirham Fifteen Thousand (AED 15,000.00).

 

3.13            A licence for the School Segment (Segment 7.9) is United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00) per annum. A licensee may on application add more than one activity onto its licence for an additional annual fee of United Arab Emirates Dirhams Fifteen Thousand (AED 15,000.00) per annum.

 

3.14            A licence for the Production Activity 8.1.5 or the Manufacturing Activity 8.1.6 under the Therapeutics Segment (Segment 8.1) is United Arab Emirates Dirhams Twenty Five Thousand (AED 25,000.00) per annum.

 

3.15            A licence for the Production Activity 8.2.5 or the Manufacturing Activity 8.2.6 under the Diagnostics and Analysis Segment (Segment 8.2) is United Arab Emirates Dirhams Twenty Five Thousand (AED 25,000.00) per annum.

 

3.16            A licence for the Production Activity 8.3.5 or the Manufacturing Activity 8.3.6 under the Agricultural, Forestry, Horticulture, Food Segment (Segment 8.3) is United Arab Emirates Dirhams Twenty Five Thousand (AED 25,000.00) per annum.

 

3.17            A licence for the Production Activity 8.4.5 or the Manufacturing Activity 8.4.6 under the Environment Segment (Segment 8.4) is United Arab Emirates Dirhams Twenty Five Thousand (AED 25,000.00) per annum.

 

3.18            A licence for the Production Activity 8.5.5 or the Manufacturing Activity 8.5.6 under the Speciality Supplies Segment (Segment 8.5) is United Arab Emirates Dirhams Twenty Five Thousand (AED 25,000.00) per annum.

 

3.19            A licence for the Production Activity 8.6.5 or the Manufacturing Activity 8.6.6 under the Equipment Segment (Segment 8.6) is United Arab Emirates Dirhams Twenty Five Thousand (AED 25,000.00) per annum.

 

3.20            A licence for the Manufacturing Activity 9.1.17 under the Energy Generation Segment (Segment 9.1) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.21            A licence for the Manufacturing Activity 9.2.8 under the Energy Storage Segment (Segment 9.2) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.22            A licence for the Manufacturing Activity 9.3.14 under the Energy Transmission and Distribution Segment (Segment 9.3) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.23            A licence for the Manufacturing Activity 9.4.16 under the Energy Efficiency Equipments Segment (Segment 9.4) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.24            A licence for the Manufacturing Activity 9.5.10 under the Air and Environment Segment (Segment 9.5) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.25            A licence for the Manufacturing Activity 9.6.15 under the Water and Waste Water Segment (Segment 9.6) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.26            A licence for the Manufacturing Activity 9.7.12 under the Recycling and Solid Waste Segment (Segment 9.7) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.27            A licence for the Manufacturing Activity 9.8.9 under the Transportation Segment (Segment 9.8) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.28            A licence for the Manufacturing Activity  9.9.9 under the Green Building Segment (Segment 9.9) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

3.29            A licence for the Manufacturing Activity 9.10.12 under the Organic Products Segment (Segment 9.10) is United Arab Emirates Dirham Twenty Five Thousand (AED 25,000.00) per annum.

 

4.                   Listing of Segments and Activities on a Licence

 

4.1               A DIC licensee may (but is not obliged to) add one or more, but generally not to exceed five (5), of the activities from the segment chosen for specific inclusion on the licence (for instance, to denote a particular speciality or business focus).

 

4.2               A licensee for Segment 3.1, 3.5, 3.6, 3.8, 3.9 and 3.10 will be licensed for one activity only.

 

4.3               A licensee for Media and Marketing Segment (Segment 3.2) may (but is not obliged to) on application add one or more, but generally not to exceed four (4), of the activities for specific inclusion on the licence.

 

 

4.4               A licensee for Media Support Services Segment (Segment 3.3) may (but is not obliged to) on application add one or more, but generally not to exceed two (2), of the activities for specific inclusion on the licence.

 

4.5               A licensee for Event Management Segment (Segment 3.4) and New Media Segment (Segment 3.7) may (but is not obliged to) on application add one or more, but generally not to exceed five (5), of the activities from the segment chosen for specific inclusion on the licence.

 

4.6               A IMPZ licensee (except for Segment 4.5) may (but is not obliged to) on application add one or more, but generally not to exceed five (5), of the activities from the segment chosen for specific inclusion on the licence.

 

4.7               A licensee for Graphic Arts Support Services Segment (Segment 4.5) may (but is not obliged to) on application add one or more, but generally not to exceed four (4), of the activities for specific inclusion on the licence.

 

4.8               A licensee for Segment 5.1, 5.2, 5.3, 5.4 and 5.5 will be licensed for one activity only.

 

4.9               A licensee for Film Support Services Segment (Segment 5.6), Production (Film/TV and Radio) Segment (Segment 5.7) and Music and Entertainment Segment (Segment 5.9) may (but is not obliged to) on application add one or more, but generally not to exceed two (2), of the activities for specific inclusion on the licence.

 

4.10            A licensee for Production Support Services Segment (Segment 5.8) may (but is not obliged to) on application add one or more, but generally not to exceed three (3), of the activities for specific inclusion on the licence.

 

4.11            A licensee for Segment 6.1, 6.2, 6.3, 6.4, 6.5, 6.6, 6.7, 6.8 and 6.9 will be licensed for one activity only.

 

4.12            A licensee Segments 7.6, 7.7, 7.8 and 7.9 may (but is not obliged to) on application add one or more of the activities for specific inclusion on the licence.

 

4.13            A DuBiotech licensee (except for Segment 8.7and 8.8) may (but is not obliged to) on application add one or more, but generally not to exceed five (5), of the activities (except for Production activity and Manufacturing activity) from the segment chosen for specific inclusion on the licence.

 

4.14            An ENPARK licensee (except for Segment 9.11) may (but is not obliged to) on application add one or more, but generally not to exceed five (5), of the activities (except for Manufacturing activity) from the segment chosen for specific inclusion on the licence.

 

4.15            For the General Segments (Segment 10.1, 10.2, 10.3, 10.4 and 10.5), only one activity will be licensed and undertaken unless a licensee is specifically authorised to conduct more than one activity.

 

5.                   Limitation on Service Provider Segment and Consultancy Segment

 

5.1               Issuance of any licence under the Service Provider Segment for any activity, and for Legal Consultancy (Activity 10.2.1), Accounting/Auditing Consultancy (Activity 10.2.2), Architectural Consultancy (Activity 10.2.3) or Engineering Design Consultancy (Activity 10.2.4) under the Consultancy Segment, is restricted to persons or organisations that are currently licensed to undertake that particular activity by the relevant authority in Dubai or elsewhere in the United Arab Emirates.

 

5.2               Issuance and renewal of licences under the Service Provider Segment for the following activities: Restaurant (10.1.11), Coffee Shop (10.1.12), Cafeteria (10.1.13), Ice Cream Shop (10.1.14), Health Club / Fitness Centre (10.1.26), Beauty Salon (10.1.27), Spa Club (10.1.28) and Laundry (10.1.39) are subject to obtaining appropriate approvals from the Dubai Municipality.

 

6.                   Capitalisation of Companies in DOZ

 

6.1               For all activities under DOZ and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

7.                   Capitalisation of Companies in IMPZ

 

7.1               For all activities under the Printing Machinery and Printing Consumables Manufacturing Segment (Segment 4.1) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Five Hundred Thousand (AED 500,000.00).

 

7.2               For all activities under the Publishing Segment (Segment 4.4), and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Two Hundred Thousand (AED 200,000.00).

 

7.3               For all other activities under IMPZ and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

8.                   Capitalisation of Companies for the Broadcasting (TV and Radio Broadcast) Segment

 

8.1               For all activities under the Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2) except for IP Streaming (Activity5.1.5 and 5.2.5) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Two Million, Five Hundred Thousand (AED 2,500,000.00).  

 

8.2               Any changes to the shareholding of a licensee licensed under the Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2), will require the prior consent of the Authority.  The provisions of Decision No. 3 of 2004 concerning the Dubai Technology and Media Free Zone Private Companies Regulations 2003 shall specifically apply to any transfer of shares in a licensee licensed under the Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2).

 

 

 

9.                   Capitalisation of Companies for the School Segment

 

9.1               For all activities under the School Segment (Segment 7.9) and for the Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Two Million Five Hundred Thousand (AED 2,500,000.00).

 

10.               Capitalisation of Companies for the Therapeutics Segment

 

10.1            For the Production Activity 8.1.5 under the Therapeutics Segment (Segment 8.1) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

10.2            For the Manufacturing Activity 8.1.6 under the Therapeutics Segment (Segment 8.1) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

11.               Capitalisation of Companies for the Diagnostics and Analysis Segment

 

11.1            For the Production Activity 8.2.5 under the Diagnostics and Analysis Segment (Segment 8.2) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

11.2            For the Manufacturing Activity 8.2.6 under the Diagnostics and Analysis Segment (Segment 8.2) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

12.               Capitalisation of Companies for the Agricultural, Forestry, Horticulture, Food Segment

 

12.1            For the Production Activity 8.3.5 under the Agricultural, Forestry, Horticulture, Food Segment (Segment 8.3) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

12.2            For the Manufacturing Activity 8.3.6 under the Agricultural, Forestry, Horticulture, Food Segment (Segment 8.3) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

13.               Capitalisation of Companies for Environment Segment

 

13.1            For the Production Activity 8.4.5 under the Environment Segment (Segment 8.4) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

13.2            For the Manufacturing Activity 8.4.6 under the Environment Segment (Segment 8.4) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

14.               Capitalisation of Companies for Speciality Supplies Segment

 

14.4            For the Production Activity 8.5.5 under the Speciality Supplies Segment (Segment 8.5) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

14.5            For the Manufacturing Activity 8.5.6 under the Speciality Supplies Segment (Segment 8.5) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

15.               Capitalisation of Companies for Equipment Segment

 

15.1            For the Production Activity 8.6.5 under the Equipment Segment (Segment 8.6) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

15.2            For the Manufacturing Activity 8.6.6 under the Equipment Segment (Segment 8.6) and for the purposes of Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).

 

16.               Capitalisation of Companies in ENPARK

 

16.1            For all segments in ENPARK, with the exception of Segment 9.11, and for the Regulation 23.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003, the minimum paid up capital of an FZ-LLC shall be United Arab Emirates Dirhams Three Hundred Thousand (AED 300,000.00).  For Segment 9.11 the minimum paid up capital shall be United Arab Emirates Dirham Fifty Thousand (AED 50,000.00).

 

 

 

 

 

 

17.               Limitations on licensees for the Broadcasting TV Segment, Broadcasting Radio Segment and Broadcast Management Segment (all "Broadcast Licensees") and for the Publishing Segment and New Media Segment (all "Publishers")

 

17.1            For the Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2) only free zone limited liability companies are permitted.

 

17.2            The Authority shall designate an authorised uplink service provider in the Zone.  No Broadcast Licensee is authorised to uplink or resell, repackage or sub-lease broadcast uplink services except and to the extent expressly authorised by the Authority in consultation with the authorised uplink service provider.

 

17.3            For the Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2) for any modifications or additions to the channels being broadcast by a Broadcast Licensee, DSC / DMC (as the Authority's representative) must be informed in writing in advance by the Broadcast Licensee of any such modifications or additions, and the Broadcast Licensee's licence will be amended to reflect any such modifications or additions. No Broadcast Licensee may operate on the basis of any modifications or additions to the channels being broadcast by that Broadcast Licensee unless and until its licence is amended.

 

17.4            For Broadcast Licensees and Publishers, any and all disputes with regard to content will be subject to the jurisdiction of the Broadcasting and Publication Disputes Tribunal Regulations 2003 and the Dubai Technology and Media Free Zone Codes of Guidance 2003.

 

17.5            For the Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2), licensees are not permitted to uplink through the designated uplink provider any third party channels not owned or controlled by that licensee.

 

17.6            For the Broadcasting TV Segment (Segment 5.1) and Broadcasting Radio Segment (Segment 5.2) a licensee is not permitted to provide satellite service for free to air channels unless authorised by the Authority and by the authorised uplink service provider.  Additional fees will apply to any such authorisation.  Such licensees are further not permitted to provide satellite services for channels not owned by that licensee, unless authorised by DSC / DMC and authorised uplink service provider.  If so authorised, an additional fee will apply.

 

18.               Limitations on Licensees for the DMC Freelancer Segment and KV Freelancer Segment

 

18.1            Issuance of a permit under the DMC Freelancer Segment (Segment 3.9) or the KV Freelancer Segment (Segment 6.8) will only be to individuals on a sole proprietorship basis.

 

19.               Limitations on Licence for the Associations (Non Profit) Segments

 

19.1            Issuance of a licence for the Associations (Non Profit) Segments (Segment 3.10, Segment 9.11),Non-Government Organisation (NGO) Segment (Segment 6.9) and Life Science and Bio Medical Associations (Non-Profit) Segment (Segment 8.8) will only be granted to bona fide representatives of the relevant segment that operate on a not-for- profit and non-commercial basis.  Issuance of a licence may be to either a free zone limited liability company or a branch of a foreign company.

 

20.               Limitations on Licence for the University Segment

 

20.1            Issuance of a licence for the activity Branch University (Activity 7.1.2) will only be granted to bona fide branches of an approved foreign University, College or School and where that University, College or School exercises full control over the operation and management of the branch.

 

21.               Additional Requirements for Licensing under the Hotel and Leisure Services Segment

 

21.1            Issuance of a licence for the Hotel and Leisure Services Segment (Segment 10.4) is subject to licensing and approval requirements as set out in Decision 2 of 2006.

 

22.               Adding additional Segments to an Existing Licence

 

22.1            Where a licensee wishes to add an additional segment to its licence, this will be treated as a new application and a further licence fee for the concerned Segment per annum will be payable.

 

23.               Property Management Services

 

23.1            Issuance of a licence for the Property Management Services Segment (Segment 10.5) is specifically restricted to the management of properties located in areas under the regulatory and administrative control of the Authority and for properties that are owned or leased by the licensee.  No person or corporate entity may provide property management services for properties located in the Zone except and to the extent that they hold a Property Management Services Licence under Segment 10.5.  A licensee is not permitted to provide property management services whether by way of leasing, brokerage or sale for any properties located outside the Zone under any circumstances.  The licence fee for Segment 10.5 is determined on the following basis:

 

23.1.1      Where the property is managed and operated in collaboration with the Authority (under the terms of the Authority's "Property Management and Leasing Agreement"), the licence fee will be an annual amount of United Arab Emirates Dirhams Fifteen Thousand (AED 15,000.00).

 

23.1.2      Where the property is managed and operated directly by the licensee, the licence fee will be an annual amount of United Arab Emirates Dirham Fifteen Thousand (AED 15,000.00).

 

23.1.3      Where a property is managed and operated directly by a licensee as set out in item 23.1.2 above, such licence must be maintained and renewed for as long as other licensees are operating out of the property.

 

 

 

24.               Shared Segments

 

Certain segments are shared between DMC, DSC and IMPZ as more particularly described against each shared segment.

 

Certain segments are shared between KV and DIAC as more particularly described against each shared segment.

 

 

25.               Community Fee

 

Licensees leasing office space in buildings owned and managed by third parties in the TECOM Zone shall be subject to a "Community Fee" calculated annually at United Arab Emirates Dirham Fifteen (AED 15.00) per square foot of leased area.

(Companies that undertake surveying structural quantities in terms of sizes and prices, upon the basis of designs and structural specifications set for the construction of projects.)

10.2.1         Legal Consultancy

(Branches of law firms licensed in Dubai or elsewhere in the United Arab Emirates.)

10.2.2         Accounting / Auditing Consultancy

(Branches of accounting and auditing firms licensed in Dubai or elsewhere in the United Arab Emirates.)

10.2.3         Architectural Consultancy

(Branches of architectural firms licensed in Dubai or elsewhere in the United Arab Emirates.)

10.2.4         Engineering Design Consultancy

(Branches of engineering design firms licensed in Dubai or elsewhere in the United Arab Emirates.)

10.2.5         Management Consultancy

(Firms providing administrative consultancies and studies to public departments and companies regarding administrative and performance analysis, internal policy formulation, organisational restructuring, strategic plans development and innovating work procedures.)

10.2.6         Project Management Consultancy

(Firms that carry out technical and economical studies for different commercial and economic establishments including preparation of tender documents, prequalification of consultants and contractors, assessment of financial offers and follow up of execution on the technical and engineering levels.  This does not include active project management of construction sites.)

10.2.7         Market Research Consultancy

(Firms conducting fields surveys and questionnaires to explore the opinion of consumers, producers and distributors on goods and services.)

10.2.8         Interior Design Consultancy

(Firms that prepare landscaping, drawings and designs for residential commercial and retail buildings, hotels and offices.)

10.2.9         Hospitality Management Consultancy

(Firms that provide expert advice on professional management techniques used in the hospitality sector.)

10.3              Regional Head Quarters - Companies or regional branch offices that provide and coordinate the administrative, marketing, and customer service activities for the companies within its sphere of influence. Such a company promotes the products and services of its parent company and facilitates the conclusion of commercial contractual agreements between the company and its clients. However, such a company may not carry out any trading activity from the Zone.

10.3.1         Marketing Office

(A marketing office ensures that the products and services of the parent company are marketed effectively in the specified region.  This office covers work with distributors and manages the distribution network and advertising and promotional campaigns through the coordination of the media and marketing services.)

10.3.2         Representative Office

(A representative office promotes the products and services of its parent company, expands it activities, and facilities the conclusion of commercial contractual agreements between the company and its clients.  A representative office may not carry out any trading activity nor enter into commercial transactions and deals by itself.)

10.3.3         Call Centre

(A call centre handles all complaints, reservations, orders, bookings and general information enquiries by end users.)

10.3.4         Administration Office

(An administration office makes contacts and conducts follow-up of the parent company's activities and affairs, and works to promote the company abroad.  Such an office may not carry out the work related to the company's activities nor have any trading activity inside the United Arab Emirates.) 

10.3.5         Back Office

(A back office provides discrete logistical, administrative and secretarial functions for a parent company's operations.)

10.4              Hotels and Leisure Services – Hotels and serviced apartments licensed in accordance with Decision No. 2 of 2006.

10.5              Property Management Services – Branches of existing companies or other licensed commercial entities or companies incorporated in the Zone to manage commercial and residential property located within the Zone only.

 

 

This Decision shall come into effect on the date of its issuance.
