Decision No. 1 of 2005 Concerning the Dubai Technology and Media Free Zone Private Companies Regulations 2003


I, Ahmad Binbyat, Director General of the Dubai Technology and Media Free Zone Authority


After perusal of the Dubai Technology and Media Free Zone Private Companies Regulations 2003 and Regulation 101 thereunder, hereby issue the following Decision regarding due diligence by the Authority on shareholders in free zone limited liability companies.


Notes

1. This decision is issued pursuant to Regulation 101.1 of the Dubai Technology and Media Free Zone Private Companies Regulations 2003 (the "Companies Regulations"). Capitalised terms used herein have the same meaning as set out in the Companies Regulations.

2. For the purposes of Regulation 9 of the Companies Regulations, a Company may by special resolution change its name if the Authority has, on application, approved in writing, the proposed name. As from the date of this Decision, the approval of the Authority for the purposes of Regulation 9 of the Companies Regulations shall be contingent on compliance by the Company with the procedure set out in Clause 3 of this Decision below.

3. Procedure:

3.1 Following approval by the Authority to the proposed new name as provided for in Regulation 9.1 of the Companies Regulations, a Company shall thereafter cause to be published in two daily newspapers circulating in Dubai, one Arabic and one English, a notice more or less in the form as set out in this Decision (the "Notices");

3.2 Following a period of not less than fourteen (14) days from the date of publication of the Notices, the Company shall deliver to the Authority originals of each of the Notices together with any other forms or applications normally required by the Authority with regard to a change of name of a Company;

3.3 On receipt of, and confirmation as to the genuineness of the Notices, the Authority shall thereafter transact the change of name in compliance with the requirements and procedures set out in Regulation 9 of the Companies Regulations.
 

4. In the event the Authority receives from any interested third party, a written demand, protest or similar correspondence with regard to the Notices (collectively, "Correspondence") then the Authority may suspend the processing of the change of name of the Company as set out in Regulation 9.2 of the Companies Regulations until it has determined any issues raised by the Correspondence.

5. The contents and procedures of Regulation 9 of the Companies Regulations shall otherwise apply, mutatis mutandis.


This Decision shall come into effect on the date of its issuance.

Notice of Change of Name of a Free Zone Limited Liability Company



To whom it may concern


We, <<State Original Name of FZ-LLC>> a free zone limited liability company incorporated under the Dubai Technology and Media Free Zone Private Companies Regulations 2003 (the "Private Companies Regulations") hereby give notice that under the terms of Regulation 9 of the Private Companies Regulations, we intend to change our name to:

Any person objecting to this change of name should make such objection in writing, no more than fourteen (14) days from the date of publication of this notice to the following:
